Software License

Selected commercial scope for the initial VBA Modernization Assessment business license.

Grant and users

After a completed eligible order, the software licensor grants the purchasing legal entity or sole-proprietor business a nonexclusive, nontransferable license to install and run the delivered VBA Modernization Assessment 0.x line on devices it controls for its own internal work. There is no seat, device or workbook-count limit within that one purchasing entity. Employees and contractors may use it for that entity's internal work. A consultant's client work is outside this offer.

Restrictions and ownership

The purchaser may keep reasonable backup copies and retain lawfully generated reports. It may not redistribute, resell, sublicense, publish, rent or host the proprietary software for another entity, or use it to assess third-party client work, except where mandatory law or an applicable third-party component license permits otherwise. Ownership of the proprietary software remains with the licensor.

Required input boundary and limits

Use only organization-owned, already-trusted internal inputs from a known source. Do not analyze unknown external files, suspicious attachments or malware samples. The product performs static assessment and does not run macros, convert code, prove security or guarantee migration success. Source/P-code equivalence is not verified. Resource limits are not an operating-system sandbox.

Package and updates

The planned delivery is a portable Windows x64 ZIP. The Microsoft Visual C++ v14 x64 Redistributable is an external prerequisite and is governed by Microsoft's own terms. The delivered build has no online activation or telemetry in its analysis path. Use of the delivered 0.x line continues under this license; no future version or update schedule is promised. Routine support aims to reply within five business days and has the scope described in the support page.

Third-party code

The distributed package's THIRD_PARTY_NOTICES.txt and licenses/ contain applicable third-party terms, which govern their components where they conflict with this proprietary license. The Python.org Windows runtime includes embedded Microsoft Distributable Code. For that code, users must preserve copyright, trademark and patent notices; use it only on Microsoft operating systems, runtime technologies or application platforms; not imply Microsoft origin or endorsement; and not include it in malicious, deceptive or unlawful programs. Redistribution remains prohibited except where law or the applicable third-party terms require otherwise; any permitted distributor must impose terms on downstream distributors and external users protecting the Microsoft code at least as much as Microsoft's applicable requirements. The complete Python Windows binary conditions in the distributed license text also apply. The separately installed VC++ Redistributable remains under Microsoft's terms.

Refund and termination

The Refund Policy and non-waivable rights apply. After a material breach that remains uncured following reasonable written notice, the licensor may terminate the proprietary license; the purchaser must stop using and delete that proprietary software, while retaining independently licensed third-party rights and lawfully generated reports.
